The position
Divided loyalty is not a service model. It is a conflict.
When a firm represents both sides of a transaction, its loyalty is divided, its
incentives are compromised, and its negotiating leverage is neutralized. The seller pays for an
advocate and receives an intermediary.
We work exclusively for sellers. Every buyer we approach knows they are dealing with
the seller's advisor, and negotiates accordingly.
Confidentiality is not a policy here. It is a discipline. In 18 years, we have
had zero confidentiality breaches.
Most brokers list businesses and wait. We design and engineer successful exits from
the ground up.
That methodology is what we call Exit Architecture. Every business has
hidden strengths that buyers will pay premium multiples for, and hidden weaknesses that will erode the
offer or kill the deal in due diligence. Most owners do not know which is which until it is too late.
